These Terms & Conditions (“Terms”) govern your use of the website and the purchase of products from Marina Medical Instruments, Inc. (“Marina Medical,” “we,” “us,” or “our”).

By accessing marinamedical.com or placing an order, you agree to be bound by these Terms.

KEY TERMS FOR ONLINE ORDERS

• Orders are typically processed and shipped within 72 business hours unless otherwise communicated.

• Online pricing is valid for the United States market only.

• All online orders are shipped domestically within the United States only.

• International customers may utilize third-party freight forwarding services at their own risk.

• Marina Medical is not responsible for any damage, loss, delays, taxes, duties, or fees associated with third-party forwarding services.

• Applicable sales tax will be applied to orders shipped within Florida in accordance with state law.

• Marina Medical reserves the right to modify pricing, product availability, and website content at any time without prior notice.

• Accepted payment methods include credit cards, debit cards, and PayPal (processed securely through third-party providers).

1. Orders & Payment

All online orders require full payment at the time of purchase.

Approved business accounts may be eligible for Net 30 payment terms, subject to prior credit approval and separate agreement.

We reserve the right to:

• Refuse or cancel any order at our discretion

• Limit quantities purchased

• Correct pricing, product, or typographical errors at any time

2. Shipping & Delivery

All shipments are FOB Marina Medical’s designated facility in Florida.

Upon shipment:

• Title and risk of loss transfer to the customer

• Delivery timelines are estimates and are not guaranteed

Customers may arrange local pickup where applicable.

3. Inspection & Claims

Customers are responsible for inspecting all products immediately upon receipt.

Claims for:

• Shortages

• Damage

• Non-conforming products

Must be submitted in writing within five (5) calendar days of delivery.

Failure to notify Marina Medical within this timeframe constitutes acceptance of the shipment and waiver of such claims.

4. Returns & Credits

Returns require prior written authorization from Marina Medical. Unauthorized returns will not be accepted.

Approved returns are subject to:

• 15% restocking fee (within 30 days)

• 25% restocking fee (after 30 days, if approved)

Conditions:

• Products must be unused, in original packaging, and in resellable condition

• Returns may be refused after 90 days from delivery

Products returned due to Marina Medical error may be replaced or credited at no cost.

5. Warranty & Product Specifications

Marina Medical warrants that products will conform to applicable specifications at the time of sale.

Warranty Periods:

• Stainless Steel Instruments: 2 Years

• Single-Use Products: 90 Days

Marina Medical reserves the right to modify product specifications at any time without prior notice.

Exclusive Remedies:At Marina Medical’s sole discretion:

• Replacement of the product, or

• Refund of the purchase price (including applicable shipping charges)

Disclaimer of Warranties:To the fullest extent permitted by law, Marina Medical disclaims all other warranties, express or implied, including but not limited to:

• Merchantability

• Fitness for a particular purpose

6. Limitation of Liability

To the maximum extent permitted by law, Marina Medical shall not be liable for:

• Indirect, incidental, or consequential damages

• Loss of profits or business interruption

• Damages arising from misuse or improper handling

Total liability shall not exceed the purchase price of the product in question.

7. Use of Products (Medical Disclaimer)

Marina Medical products are intended for use by licensed and trained medical professionals only.

By purchasing or using our products, you acknowledge that:

• You are responsible for determining proper product use

• All products must be used in accordance with:

• Applicable laws and regulations

• Product labeling and Instructions for Use (IFU)

• Clinical instruction

• A warranty or guarantee of outcomes

8. Indemnification

You agree to defend, indemnify, and hold harmless Marina Medical from any claims, damages, or expenses arising from:

• Misuse of products

• Failure to comply with applicable laws or regulations

• Breach of these Terms
